Монографія присвячена дослідженню можливостей покращення венчурного фінансування в Україні через розвиток акціонерної форми ведення бізнесу. Досліджено теоретичні засади функціонування венчурних структур, проведено типологізацію венчурних структур, розглянуто зарубіжні моделі венчурного фінансування, зарубіжний досвід фіскального стимулювання інноваційного розвитку; проведено аналіз глобальних трендів та структурної динаміки венчурного фінансування у світі; аналіз нормативно-правової бази функціонування венчурних структур в Україні. Досліджено стан розвитку венчурного бізнесу в Україні та його ролі в системі розвитку інновацій. Розглянуто грошові потоки в життєвому циклі венчурної структури та встановлено, що акціонування є основним механізмом залучення венчурною структурою інвестицій. Досліджено проблеми акціонерних товариств в Україні, стану ринку акцій, системи депозитарного обліку цінних паперів, та стану і проблем розвитку стану розвитку венчурних ІСІ. Окреслено напрями активізації інвестиційної діяльності, вдосконалення механізмів захисту прав інвесторів та вдосконалення ринкової інфраструктури для підвищення прозорості фондового ринку в Україні.
The monograph is devoted to exploring opportunities for enhancing venture financing in Ukraine through the development of the corporate (equity-based) form of business organization. It examines the theoretical foundations of venture structures, provides a typology of venture entities, and reviews foreign models of venture financing as well as international experience in fiscal incentives for innovation-driven development. The study also analyzes global trends and structural dynamics in venture financing worldwide, along with the regulatory and legal framework governing venture structures in Ukraine. The monograph assesses the current state of venture business development in Ukraine and its role in the national innovation system. The analysis of cash flows across the life cycle of a venture structure shows that equity issuance is the principal mechanism for attracting investment. Additionally, the monograph examines the challenges faced by Ukrainian joint-stock companies, the condition of the stock market, the system of securities depository accounting, and the current state and development issues of venture collective investment institutions. Finally, it outlines key directions for stimulating investment activity, strengthening investor protection mechanisms, and improving market infrastructure to enhance the transparency and efficiency of Ukraine’s capital market.
